1. DEFINITIONS

• "Platform" refers to Mera Kirana (website, mobile app, admin systems)
• "User / Customer" means any person placing an order
• "Shopkeeper / Merchant" means any seller registered on the platform
• "Delivery Partner / Agent" means individuals delivering orders
• "Admin" means authorized representatives of the Platform
• "Order" means any purchase request placed through the Platform
• "Wallet" means digital balance maintained for Delivery Agents

2. ACCEPTANCE OF TERMS

By accessing, registering, or using the Platform, you agree to be legally bound by these Terms.

The Platform reserves the right to modify these Terms at any time, without prior notice. Continued use implies acceptance.

3. PLATFORM ROLE & LIMITATION OF LIABILITY

The Platform is a technology facilitator only.

We do not:

• Own products
• Manufacture goods
• Guarantee delivery time
• Guarantee product quality

All transactions are between User & Shopkeeper, with delivery facilitated by Delivery Agents.

4. USER (CUSTOMER) TERMS

Users agree that:

• All information provided is accurate
• Orders once placed cannot be cancelled after confirmation, unless allowed by Admin
• Refunds, if any, are at Platform's sole discretion
• Misuse, abuse, or fraud may result in account suspension

Free Delivery & Charges

• Orders above ₹299 may be eligible for free delivery
• A handling charge (₹5) may apply
• Delivery & charges are dynamic and may change

5. SHOPKEEPER (MERCHANT) TERMS

Shopkeepers agree that:

• Product pricing, quality, weight, expiry, and legality are their responsibility
• Any legal violation will be solely borne by the Shopkeeper
• Platform commission is non-refundable
• Platform may withhold payouts in case of disputes, fraud, or investigation

Commission System

• Commission is calculated using rate slabs, not per-product margins
• Admin may revise commission at any time
• Shopkeepers cannot bypass the Platform

6. DELIVERY AGENT TERMS

Delivery Agents agree that:

• They are independent contractors, not employees
• They must upload valid documents (Driving License, ID proof)
• Platform may verify documents anytime
• Delivery Agents must maintain wallet balance for COD

COD Wallet Rule

• COD amount will be deducted from wallet
• If outstanding exceeds ₹250, agent account may be paused
• Platform is not responsible for COD recovery issues

Payment Structure

• Single-shop order: ₹18 per order
• Multi-shop order: ₹20 per order
• Platform reserves right to revise payouts

7. MULTI-SHOP ORDERS & PAYMENT SPLIT

• Orders involving multiple shops will have automated payment splitting
• Each shop receives payment based on their item value
• Platform commission & fees are deducted proportionally
• Users will see single consolidated payment

8. RATINGS & REVIEWS

• Users may rate shops & delivery agents
• Delivery agents may rate users
• Admin may edit, hide, or remove ratings
• Ratings do not represent guarantees

9. ORDER DATA RETENTION

• Order details are retained for minimum 48 hours
• Data may be retained longer for legal compliance, fraud investigation, or dispute resolution
• Platform may delete data at its discretion

10. ADMIN RIGHTS (ABSOLUTE CONTROL)

11. FRAUD, ABUSE & MISUSE

Strict action will be taken for:

• Fake orders
• COD fraud
• False complaints
• Data manipulation
• App reverse-engineering
• Scraping or hacking attempts

12. DATA SECURITY & PRIVACY

• Data is stored using industry-standard security
• Platform does not guarantee absolute security
• Users acknowledge risk inherent to digital platforms
• Platform is not liable for third-party breaches

13. THIRD-PARTY SERVICES

Platform uses:

• Payment gateways
• Maps & location services
• Cloud infrastructure

Platform is not responsible for third-party failures.

14. FORCE MAJEURE

The Platform shall not be liable for failure due to:

• Internet failure
• Server issues
• Government restrictions
• Natural disasters
• Strikes or unrest

15. TERMINATION

Accounts may be terminated:

• Without notice
• Without reason
• Without liability

Outstanding dues, if any, remain payable.

16. INDEMNITY

You agree to indemnify and hold harmless the Platform, its founders, employees, and partners against:

• Claims
• Losses
• Legal costs
• Damages

arising from your actions or misuse.

17. GOVERNING LAW & JURISDICTION

• Governed by Indian Law
• Jurisdiction: Courts of Uttar Pradesh, India
• Arbitration may be used at Platform's discretion
